SL Software Client Referral Terms and Conditions

The Client Referral Overview, the Rules and all related provisions of the Client Referral Program, including, without limitation, provisions regarding the commission rate, service policies and operating procedures, are incorporated in these Terms and Conditions by reference.  In the event of any conflict between any such provisions and these Terms and Conditions, the determination by SL Software in its sole discretion regarding such issue shall control.  These Terms and Conditions may be amended by SL Software at any time without notice and references herein to the Terms and Conditions shall include any and all such amendments.

Joining the Program/Termination

Only approved Client Referral Associates will be eligible to earn commission payments. To become an approved Client Referral Associate, you must submit a completed application form receive a written acceptance from SL Software. Your status as an approved Client Referral Associate will continue until the first to occur of written notice by either party at any time (and for the purposes of these Terms and Conditions, notice by email shall constitute effective written notice) or the  termination of the Client Referral Program by SL Software. Commissions will not be paid on sales made after the date of any such termination.

Client Referral Associate Responsibilities

The activities and compensation of a Client Referral Associate will be subject to these Terms and Conditions, as amended from time to time, and the compliance by the Client Referral Associate with all applicable laws, including laws that govern email marketing and anti-spam activities. SL Software reserves the right to accept or reject any prospective customers referred by a Client Referral Associate.

Client Referral Associate / On Center Software Relationship

Each Client Referral Associate is and shall be acting as an independent contractor for SL Software and nothing related to the Client Referral Program or these Terms and Conditions is intended or shall be construed to create an employer/employee, agency, joint venture or any other relationship by and between SL Software and any Client Referral Associate or to allow SL Software to exercise control or direction over the manner or method by which a Client Referral Associate performs any services that are the subject matter of the Client Referral Program. In no event shall SL Software be liable for any special, indirect, incidental, punitive or consequential damages, including damages due to loss of use, lost profits or loss of goodwill, in any way related to the Client Referral Program or these Term and Conditions, and without limiting the foregoing, in no event shall SL Software’s aggregate liability arising and payable with respect to this Client Referral Program or pursuant to these Terms and Conditions exceed the total referral commissions then due and owing to an applicable Client Referral Associate pursuant to the Client referral Program. SL Software makes no express, implied, statutory or other warranties or representations (a) with respect to the Client Referral Program, the Rules, these Terms and Conditions, any communications related thereto or any products sold or licensed in connection therewith, or (b) that the operation of any product will be uninterrupted or error-free, it being understood that SL Software will not be liable for the consequences of any interruptions or errors.

Revocation of Status

Your Client Referral Program application and status in the program may be suspended or terminated by SL Software at its sole discretion and for any reason, including the following.

• Inappropriate advertisements (False claims, misleading hyperlinks)
• Illegal Spamming (mass email, mass newsgroup posting, etc…)
• Advertising on sites containing/promoting illegal activities
• Violation of intellectual property rights

Commissions

Eligible commissions will be paid each Thursday, unless other arrangements have been agreed to in advance by SL  Software. Commissions are based on the total sale price of software at the time of “check out” for the first purchase only. Referral commissions will not be paid on any future re-orders, upgrades, renewals, maintenance or hardware. Commissions will not be paid to individual Client Referral Associates or organizations participating in the SL  Software Partner Program that utilize the Client Referral Program as a means to obtain licenses at a discounted rate either for their own use or their organization’s use. Commissions will not be paid for transactions that SL Software, in its sole discretion, determines to be manipulative or otherwise disingenuous in nature.
